Jessica completed a Bachelor of Arts and Laws at the University of Tasmania in 2006. She then spent two years as corporate lawyer for a Tasmanian government business enterprise whilst also seconded at a Hobart law firm. Jessica has a background in corporate and commercial law, statutory review and interpretation, government compliance, planning and property law.

Experience

Gerry practised in Ireland for a number of years in the corporate / finance team of a leading Irish corporate firm before moving to Australia in 2002. Before joining Page Seager in 2009 as a partner in the firm’s corporate and commercial group, he spent a number of years practising in the structured finance team of a high profile international law firm before spending a year as a corporate lawyer with National Australia Bank and a number of years as a corporate lawyer with Hydro Tasmania.

Justin is partner in our Corporate and Commercial Group. Justin specialises in general corporate and commercial law with an emphasis on corporate advisory, finance, mergers and acquisitions, trusts, corporate structures and restructures, superannuation and franchising. Justin also has experience advising on fundraising, ASX listing rules, directors’ duties and Corporations Law Compliance.

Background

Justin has a first class honours degree in Commerce, a Masters in Law from the University of Melbourne and a Graduate Diploma in Applied Finance and Investment.

Before joining Page Seager in 2012 as a partner, Justin worked as in-house counsel for Deutsche Bank, a global investment bank, in Sydney for 5 years. Prior to working with Deutsche Bank, Justin was principal counsel in the institutional markets and investment division of National Australia Bank. Justin also practised for a number of years in the mergers and acquisitions team of a high profile international law firm.

Adrian joined Page Seager in 2007 after having practised as a Barrister and Solicitor in Malaysia. He previously worked for another Hobart legal firm before commencing with Page Seager. Adrian is an Associate in the firm’s Corporate and Commercial Group. He focuses in the areas of Mergers and Acquisitions, Property and Finance.

Experience

Megan graduated from the University of Tasmania in 2008 with a Bachelor of Arts / Bachelor of Laws with Honours in Law. In 2009 she completed the Professional Legal Training Program and commenced employment at Page Seager. Megan spent a year working in the firm’s General and Commercial Litigation areas before moving to the Corporate and Commercial group.

Page Seager’s Corporate Advisory group advises a wide range of business owners on all aspects of corporate governance, compliance and structuring.

We advise and assist clients in the establishment and documentation of the structure that best suits their specific requirements. We provide a customized service to ensure that all of our client’s requirements are met. We do not use ‘off the shelf’ structures or documents.

We work in conjunction with our client’s accountants, tax advisors and our Wills and Estate Planning specialists to ensure that the structures our clients put in place are not only tax effective but are also the most appropriate structure from a governance, compliance and succession perspective.

We draft plain English documents and draft all of our own documentation to ensure that all of our client’s requirements are met. These documents include: company constitutions, shareholders’ agreements, joint venture agreements, discretionary and unit trust deeds, buy/sell agreements and binding debt agreements.

We also advise proprietary companies, partnerships and not for profit companies and associations on and assist them to adopt and implement best practice corporate governance.
