Experience

Gerry practised in Ireland for a number of years in the corporate / finance team of a leading Irish corporate firm before moving to Australia in 2002. Before joining Page Seager in 2009 as a partner in the firm’s corporate and commercial group, he spent a number of years practising in the structured finance team of a high profile international law firm before spending a year as a corporate lawyer with National Australia Bank and a number of years as a corporate lawyer with Hydro Tasmania.

Justin is partner in our Corporate and Commercial Group. Justin specialises in general corporate and commercial law with an emphasis on corporate advisory, finance, mergers and acquisitions, trusts, corporate structures and restructures, superannuation and franchising. Justin also has experience advising on fundraising, ASX listing rules, directors’ duties and Corporations Law Compliance.

Background

Justin has a first class honours degree in Commerce, a Masters in Law from the University of Melbourne and a Graduate Diploma in Applied Finance and Investment.

Before joining Page Seager in 2012 as a partner, Justin worked as in-house counsel for Deutsche Bank, a global investment bank, in Sydney for 5 years. Prior to working with Deutsche Bank, Justin was principal counsel in the institutional markets and investment division of National Australia Bank. Justin also practised for a number of years in the mergers and acquisitions team of a high profile international law firm.

Experience

Megan graduated from the University of Tasmania in 2008 with a Bachelor of Arts / Bachelor of Laws with Honours in Law. In 2009 she completed the Professional Legal Training Program and commenced employment at Page Seager. Megan spent a year working in the firm’s General and Commercial Litigation areas before moving to the Corporate and Commercial group.

Our M&A Group has a strong record advising these clients on the full range of services associated with M&A Transactions, including:

  • Non-disclosure and confidentiality agreements;
  • vendor and purchaser due diligence, including the establishment and operation of data rooms;
  • management buy-ins and buy-outs;

  • leveraged buy-outs including vendor finance; and
  • restructures and capital raisings.

Some of the more recent M&A transactions in which we have been involved include:

  • Government owned electricity utility – sale of a telecommunications business;
  • Tasmanian based UK listed resources company – preparation of fund raising documentation in connection with a share placement;
  • Tasmanian based ASX listed company – sale of R&D assets into a newly incorporated joint venture entity; and
  • Government owned infrastructure entity – sale of airport and sale of interest in stevedoring joint venture.
