Overview

Gerry specialises in corporate and commercial transactions with a particular emphasis on mergers and acquisitions, joint ventures, large procurement projects and advising in relation to financing / PPSA issues. He primarily acts for clients in the Energy, Agribusiness, and Community Service sectors.

Before joining Page Seager in 2009, Gerry spent a number of years practising in the structured finance team of a high profile international law firm before spending a year as a corporate lawyer with National Australia Bank and a number of years as a corporate lawyer with Hydro Tasmania.

Experience

Examples of recent significant transactions and experience include:

Energy

  • advising an energy retailer on the implementation of recommendations from the Independent Review of the Tasmanian Electricity Supply Industry;
  • acted for Hydro Tasmania in connection with the disaggregation of the Roaring 40s Renewable Energy (R40s) joint venture between Hydro Tasmania and China Light and Power;
  • acted for an Australian client in connection with the submission of a bid to install generation assets as part of the South African Department of Energy’s recent Independent Power Producer Procurement Programme; and
  • acted for Hydro Tasmania in connection with a number of ARENA funded renewable energy integration projects (King Island, Coober Pedy and Rottnest Island).

Community services

  • assisting with the restructure of a national community services provider including seeking FIRB approval, liaising with international tax advisers and documenting share transfer arrangements;
  • acting for a national community services provider in respect of a number of acquisitions of companies operating in the NDIS sector; and
  • successfully implementing a number of back to back subcontract arrangements in connection with a portfolio of Federally funded community services programs.

Agribusiness

  • acquisition of processing facilities in New South Wales for an ASX listed client in the aquaculture sector;
  • advising an ASX listed client in connection with the commericalisation of a number of intellectual property assets; and
  • negotiation of a number of feed supply agreements into national and overseas markets on behalf of an international animal nutrition and fish feed company.
