Overview
Justin has over 25 years’ experience working with corporate clients, government business enterprises and state-owned corporations. He specialises in business sales and purchases, share sales and purchases, governance and corporate structures and restructures. Justin also has significant experience in finance (including derivative transactions) and advising on raising capital for companies by way of equity and debt.
Justin is listed in the 2024 Doyle’s Guides as a “Pre-eminent” Corporate, Commercial & Business lawyer in Tasmania. This is the highest ranking in the Doyle’s Guide and only two other lawyers are listed in this category.
Experience
Justin has a first class honours degree in Commerce, a Masters in Law from the University of Melbourne and a Graduate Diploma in Applied Finance and Investment. Before joining Page Seager as a Partner, Justin worked as in-house counsel for the investment banking division of Deutsche Bank in Sydney. Prior to working with Deutsche Bank, Justin was principal counsel in the institutional markets and investment division of National Australia Bank. Justin also practised for a number of years in the mergers and acquisitions team of Mallesons Stephen Jaques (now King & Wood Mallesons).
Examples of recent significant transactions and experience include:
- advising on equity and hybrid capital raisings including rights issues, convertible notes and placements of shares for ASX listed and non-listed companies;
- acting for the State Government on a joint venture involving key property assets including complicated share structure;
- acting on the sale of key tourism businesses and assets in Tasmania;
- advising companies, incorporated associations, Government owned businesses and not for profit entities on governance advice including in connection with Corporations Act 2001 (Cth), ACNC requirements and constitutions;
- advising on loan and security arrangements including loan agreements in excess of $100m;
- advising on joint venture and shareholder arrangements for numerous private companies and government owned businesses;
- advising on the global restructure for a services company including FIRB and financial assistance issues;
- providing advice on the merger of a number of not for profit organisations; and
- advising and preparing commercial and procurement agreements for companies across a range of industry sectors.
